The real clock is your runway without payment processing. Why it happened — specifically for cigars and tobacco

Stripe's policy treats tobacco as a restricted business, which means Shopify Payments cannot process it without a specialist underwriter. The primary trigger is the category itself — cigars and pipe tobacco sit on Stripe's restricted list, and a merchant flagged as tobacco will be declined by the default processor. Shopify does not document a route for tobacco, and the reason is straightforward: there is no single pathway that works everywhere. What merchants typically try first is applying directly to Shopify Payments, which fails because Stripe's underwriting team will see the MCC before any other detail. The honest move is to skip that application and go straight to a specialist acquirer who underwrites tobacco accounts on purpose. They exist, they know what paperwork to expect, and they are faster than trying to convince a generalist processor that your case is an exception.

A new legal entity does not reset age-verification or shipping compliance. Carrier rules, adult signature requirements and state registration requirements all follow the products, not the company name. MATCH screening also follows the person for five years. If your previous account was terminated for shipping violations or age-gating failures, those facts are visible to every new acquirer you approach. A genuinely new business structure — a separate legal entity with different ownership or a jurisdictional shift — is legitimate, but only if disclosed fully on your application. Attempting to hide a previous termination is fraud. Document your age-verification system and carrier compliance before you apply anywhere.

A new entity does not reset MATCH screening, which follows the person for five years. If your previous account was terminated for fraud, reserves depletion or a single material dispute, that underwriting decision is visible to every new acquirer. High average order value means a single chargeback or fraud event is material to reserves, so underwriters are extremely cautious about applicants with prior terminations. A new legal entity is legitimate if the termination was an entity-level problem — an acquisition, a jurisdiction change, or a ring-fence for a high-risk product line — and disclosed truthfully. Obtain and file your state tobacco dealer's license

This is the single highest-yield fix, and it is the one document that changes a specialist acquirer's assessment of your application from 'risky' to 'legitimate business'. Most tobacco merchants already have this paperwork because they sell in person or through other channels. If you do not have it, your state's revenue or health department can advise on requirements. An acquirer will ask for a copy certified within the last 12 months. Without it, you will not pass underwriting, regardless of your other documentation.

Implement mandatory age verification at checkout

Your checkout must prove the customer is of legal age before payment is taken. A simple checkbox is not sufficient — you need a documented process such as third-party age verification, ID number capture, or date-of-birth confirmation tied to a validation service. Document your method in writing and be ready to show the acquirer exactly how it works. This is the second-highest-leverage fix because it addresses the specific concern that drove you to restricted status in the first place.

Compile a complete processing history from all prior accounts

If you have processed tobacco sales anywhere else — even a small amount — get statements, chargeback reports and processor documentation from every account you have used. Specialist acquirers want to see that you have not been repeatedly declined or terminated for age-verification failures or fraud. A clean history on a prior account is a strong underwriting signal. If you have had accounts closed, be transparent about why and what you have fixed since then.

Write a clear product and business description for the underwriter

In your application narrative, explain what you sell, how long you have been selling it, what your average order value is, and whether you sell online only or also in a physical location. Tobacco merchants with established retail operations and clear business longevity are treated as lower risk. If you are new online but established offline, say so explicitly. The underwriter is trying to distinguish between a genuine business and a front, and boring operational detail is reassuring to them.

The recovery playbook

  1. Decide whether a new entity is real or a workaroundNew entity is the right move if you are: splitting a high-risk product line away from your core brand to protect both, formalising a genuine partnership split, moving to a new jurisdiction, acquiring another business, or restructuring for tax or operational reasons. It is not the right move if your only reason is that a payment processor said no. If it is real, proceed. If it is a workaround, that intention will show up in underwriting and you will be declined on fraud grounds — worse than being declined on category grounds. Honesty saves time.
  2. Get a verified backup of your store out nowBefore you apply anywhere, export and store a full copy of your current Shopify store. This is the step with a deadline you do not control. Shopify's CSV export pulls products, variants and basic order data, but it cannot carry metafields, metaobjects, gift card codes, videos, themes, menus, discounts or redirects. If your store is already flagged or restricted, you may lose admin access without warning. With no admin access, there is no API — and with no API, your catalog, order history and custom data are unreachable. Get the copy out while you can still log in, even if you never use it.
  3. Prepare a truthful application with full termination disclosureGather the termination letter from your previous processor, and the reason code if you have it. When you apply to the new processor — Stripe, Square, Shopify Payments or any other — disclose the termination and your role in the previous business. Do not wait for them to find it. Every processor checks MATCH as part of underwriting. They will see the listing. If you have already disclosed it clearly, they move forward. If they discover it from the MATCH file, the application flags as fraud — deceptive application — and you are declined. Truthfulness is not a disadvantage; it is the only way through.
  4. Research processors that underwrite your product categoryNot all processors underwrite all categories. Some categories are on some processors' prohibited lists entirely. Before you apply, check whether your product category — not just your new company name — can be underwritten by the processor you have chosen. Publicly advertised category pages on Stripe, Square and others show which businesses they take. This is not a guarantee of approval; it is a filter to avoid wasting time and creating another declined application on your record.
  5. Move your store to a processor who will underwrite youOnce you have a new merchant account approval, migrate your store to a payment gateway that the new processor supports. This means moving your Shopify store to a new store configured with a compatible gateway. Moving means rebuilding your catalog, re-uploading images, re-adding descriptions, SEO data, metafields, product options, videos, customers, order history, discounts, menus and redirects. Shopify's CSV export cannot carry most of this — so the verified backup you took in step 2 is what lets you do this without losing data. Once the new store is live, you have a working business again. The old store can stay or close; the new processor does not care about historical platform, only about current and ongoing risk.

Does this need a new company?

You do not need a new legal entity to apply for specialist merchant processing. A new LLC or corporation will not reset your payment history or change an underwriter's view of your compliance posture. What matters is your state tobacco license, your excise documentation and your age-verification controls — those are tied to the business, not the corporate form. If you have been declined once, a new entity does not erase that decline from the processor's memory.

Which payment gateway will actually take a cigar and tobacco store?

Several high-risk acquirers publicly advertise tobacco underwriting, and they route through gateways Shopify supports natively. Authorize.net on a high-risk merchant ID, PaymentCloud, Corepay and Easy Pay Direct all have tobacco experience. Specialist ISOs focused on nicotine and tobacco are also an option. The gateway is rarely the constraint — the merchant account is. What matters is whether the acquirer's underwriting team believes your age-verification controls and your compliance posture are genuine, not which payment button you use.

Why was I declined if I already have a state tobacco license?

A state license proves you are a legal business, but it does not prove you are a low-risk payment processor's problem. The acquirer is looking for three things: documented age verification at checkout, a clean processing history, and evidence that you understand and comply with the excise-tax obligations in your states. If your prior account was closed for chargebacks or disputes, or if your checkout is a simple clickthrough without age gating, the underwriter will decline you even if your license is current. Fix the verification and reapply with a complete compliance narrative.

Will my product data survive a store migration to a new processor?

Not automatically, and not the compliance-critical parts. Your product-level age gates, state restrictions, excise-tax flags and reserve-calculation rules live in metafields that Shopify's native CSV export cannot carry at all. If you move stores by hand using CSV, those data points are lost, and your new store will sell your restricted products without age verification. A proper migration tool that reads the Shopify GraphQL API can carry metafields forward, but CSV alone cannot. Test the migration on a staging store before going live.

What reserve should I expect, and for how long?

Specialist tobacco acquirers typically hold a rolling reserve of 5–10 per cent of your monthly volume, held for 90–180 days depending on your processing history and chargeback rate. Some acquirers release the reserve in tranches as your history improves; others hold it for the full term and release it all at once. Ask the acquirer explicitly how their reserve schedule works before you sign, because it directly affects your cash flow. A new account with no prior tobacco processing history is more likely to face the higher end of that range.

Will a new LLC get me approved when my old company was terminated?

Only if you apply truthfully and disclose the termination. Every processor screens beneficial owners against MATCH, the card networks' terminated-merchant file, keyed to the person — not the company name. They will find your previous termination during underwriting no matter what you call the new entity. If you disclose it upfront, showing the reason and your account in it, that is legitimate and they evaluate based on facts. If they discover it from MATCH without you mentioning it, the application flags as fraud, which is much harder to recover from. The new company is real if you need it for structural reasons; it is not a way to look like someone else.

What is MATCH and why does it follow me to a new company?

MATCH is the card networks' terminated-merchant file, screened by every payment processor during underwriting. It is keyed to the person — name, Tax ID, address — not the business name, and it persists for five years from the termination date. When you apply to a new processor with a new company, they check MATCH as part of standard risk review. Your name and TIN appear in the file, showing a previous termination and the reason code. Every processor sees this. A new LLC with you as the owner does not hide it; it makes the situation clearer, because you are the person applying again.

Can I put someone else's name on the new company to avoid MATCH?

No. Using another person as a nominee or straw owner to obscure your involvement is transaction laundering, classified as MATCH code 03, and it is criminal fraud. Payment processors detect this during underwriting through UBO (ultimate beneficial owner) verification. If discovered, you are not just declined; you face fraud investigation. The legitimate move is to apply in your own name, disclose the previous termination, explain the reason, and show why the new company structure is necessary for real business reasons.

What happens if I apply and hide the previous termination?

The processor will find it. Every major processor screens applicants against MATCH during underwriting. If your name or TIN appears in the file and you do not mention it, the application flags as deceptive application — fraud code 08 or similar — and you are declined. That declined application stays on your record and makes future applications harder, because processors see that you concealed a material fact. Truthful disclosure of a termination is not disqualifying on its own; concealment is.

If I open a new company, can Shopify turn my payments back on?

No. Shopify cannot reinstate a terminated account, and opening a new company does not change that. What you do instead is: build a new Shopify store, connect it to a payment processor willing to underwrite your category and your termination history, and run the business from there. This requires migrating your catalog, images, customers, order history, and custom data to the new store — which is why the verified backup you took before the first store closes is critical. You cannot move gift card codes through any API, so those must be re-issued to affected customers. The new company is legitimate if you need it for structural reasons; the new store is how you keep selling.
